Terms of Use (EULA)

1. Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Blackspring ("Company") regarding your use of the Orion software ("Application"). By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement.

2. Grant of License

Blackspring grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application strictly in accordance with the terms of this Agreement.

Personal Use Only: This license is for your personal, non-commercial use only. You may not use the Application for commercial purposes, including but not limited to selling or reselling the Application, or providing it as a service to third parties.

3. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Application.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Blackspring or its affiliates, partners, suppliers, or the licensors of the Application.

4. Enterprise Use

The version of Orion available for download on this website is intended for individuals. If you wish to use Orion for enterprise or commercial purposes within an organization, you must obtain a separate commercial license. Please contact Blackspring for enterprise licensing inquiries.

5. Disclaimer of Warranty

The Application is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Blackspring expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Application, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Blackspring be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Application), even if Blackspring has been advised of the possibility of such damages.

7. Changes to This Agreement

Blackspring reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
